The FoF Partner (the VC/AIF) is the entity that invests directly into the startup and sets the terms. A. Investment Instrument and Equity Instrument: The FoF Partners primarily use Equity or Equity-Linked instruments (such as Compulsorily Convertible Preference Shares - CCPS). Equity/Revenue Sharing: They take an Equity Stake in the startup. We, as the FoF, do not take equity from the startup; we own a share of the overall AIF. Typical Range: The equity stake is determined by the startup's valuation, but is generally in the range of 10% to 25% for Seed or Early-Growth stage startups. Ticket Size: The typical investment ticket size for the startups is often in the range of ₹25 Lakhs to ₹200 Lakhs in the initial stages. B. The 2X Mandate (Our Key Term for Partners) The mandatory commitment for our FoF Partners is the leverage requirement you mentioned: FoF Partner Requirement: Our terms mandate that the FoF Partner (the VC/AIF) must invest at least 2 times (2X) the amount of our (KSUM's) contribution into Kerala-registered startups.
